Eligibility

You must be at least 18 years of age to use our services. By agreeing to these Terms, you represent and warrant that you are 18 years of age or older, that you have the legal capacity to enter into a binding agreement, and that all information you provide to us is accurate and complete.

Description of Services

SAMRAAT Network offers the following products and services, which may be updated from time to time:

• SAMRAAT Network | Alliance: A monthly membership community ($47/month) providing access to creator education, brand deal opportunities, community access, team guidance, and network resources for TikTok Shop creators.
• Courses: Self-paced digital educational programs related to TikTok Shop, content creation, and the creator economy.
• Coaching Programs: One-on-one or group coaching and consulting engagements, including but not limited to the 30-Day Sprint program.
• Educational Content: Guides, newsletters, and other informational resources distributed through our platform.

We reserve the right to modify, suspend, or discontinue any service or offering at any time with reasonable notice to affected members.

Account Registration

To access certain features of our services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and not share access with any third party
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to terminate or suspend accounts that violate these Terms or that we reasonably believe are being used fraudulently.

Payment Terms

4.1 Pricing

All prices are listed in U.S. dollars. We reserve the right to change pricing at any time. Price changes to subscription services will be communicated to existing members at least 14 days in advance.

4.2 Billing and Payment Processing

Payments are processed through Stripe. By providing your payment information, you authorize us to charge your chosen payment method for the applicable fees. You represent that you are authorized to use the payment method provided.

4.3 Subscription Memberships

The Alliance membership is billed on a monthly basis. Your subscription will automatically renew each month until you cancel. You may cancel at any time through your account settings or by contacting us directly. Cancellation takes effect at the end of the current billing period — you will retain access to membership benefits through the end of the period you have paid for.

4.4 Courses and Coaching Programs

Courses and coaching programs are sold separately from the Alliance membership unless otherwise stated. Pricing, payment schedules, and access terms for these offerings will be specified at the time of purchase.

Refund Policy

5.1 Alliance Membership

Due to the nature of our digital membership community and the immediate access to proprietary content and resources upon joining, Alliance memberships are non-refundable. You may cancel at any time to prevent future charges, but we do not issue refunds for partial billing periods.

5.2 Courses

Digital courses are non-refundable once accessed. If you have not accessed any course content, you may request a refund within 48 hours of purchase by contacting us at [email protected].

5.3 Coaching Programs

Refund eligibility for coaching programs will be specified in the individual service agreement for each program. Generally, if a session has not yet occurred, a refund or rescheduling may be arranged with at least 48 hours' notice.

5.4 Exceptions

We reserve the right to issue refunds at our discretion in cases of extenuating circumstances. All refund requests must be submitted to [email protected] with your order information and reason for the request.

Intellectual Property

All content available through our services — including but not limited to guides, curriculum materials, videos, graphics, logos, course content, coaching frameworks, community posts authored by SAMRAAT Network, and the SAMRAAT brand identity (including the Ashoka Chakra mark) — is the exclusive intellectual property of SAMRAAT Network / Samraat Studios and is protected by applicable copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our content for your personal, non-commercial use. You may not:

• Copy, reproduce, distribute, or publicly display our content without prior written permission
• Modify, create derivative works from, or reverse-engineer any of our content or systems
• Share, resell, or sublicense access to our memberships, courses, or materials
• Use our brand name, logo, or trademarks without express written consent

Any unauthorized use of our intellectual property may result in immediate termination of your account and access, and may subject you to legal action.

User Conduct

By using our services, you agree not to:

• Violate any applicable federal, state, or local laws or regulations
• Harass, threaten, or harm other community members
• Post or share content that is defamatory, obscene, or fraudulent
• Attempt to gain unauthorized access to any part of our platform or systems
• Use our platform to promote competing services without our written consent
• Share, screenshot, or distribute proprietary content from within the Alliance community
• Provide false information or impersonate any person or entity

We reserve the right to remove content, suspend access, or permanently terminate accounts for violations of these conduct standards, at our sole discretion.

Third-Party Platforms and Links

Our services may reference or link to third-party platforms including TikTok, Instagram, YouTube, and others. We are not responsible for the content, policies, or practices of any third-party platform. Your use of third-party platforms is governed by their respective terms of service and privacy policies. We make no representations or warranties regarding TikTok Shop eligibility requirements, commission structures, or platform policies, which are subject to change at TikTok's discretion.

Disclaimer of Warranties

We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee any specific results from use of our services, including but not limited to income, follower growth, brand partnerships, or TikTok Shop approval.

Results discussed in our materials, including income figures and GMV statistics, represent individual experiences and are not typical or guaranteed. Your results will vary based on your effort, experience, market conditions, and other factors outside our control.

Limitation of Liability

Indemnification

You agree to defend, indemnify, and hold harmless SAMRAAT Network, Samraat Studios, and their respective officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of our services, or your violation of any third-party rights.

Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

12.2 Informal Resolution

Before filing any formal legal claim, you agree to first attempt to resolve the dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute within 30 days.

12.3 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or our services shall be resolved by binding arbitration administered by JAMS under its applicable rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.

For any matters not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California.

Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the Effective Date at the top of this page and notify you via email or a prominent notice on our website. Your continued use of our services after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using our services and cancel any active subscriptions.

Termination

We may terminate or suspend your account and access to our services at any time, with or without cause, and with or without notice, including for violations of these Terms. Upon termination, your right to access our services ceases immediately. Sections 6, 9, 10, 11, and 12 of these Terms survive any termination.

Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and SAMRAAT Network regarding our services and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
• Force Majeure: We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control.
